Please read these Terms carefully before placing an order. By accessing the Website, creating an account, placing an order, or purchasing any Product from us, you agree to be bound by these Terms.

Nothing in these Terms is intended to exclude, restrict or modify any right or remedy that cannot lawfully be excluded, restricted or modified under applicable Singapore law.

2. SERVICE AVAILABILITY

2.1

Unless otherwise expressly stated, the Website is intended primarily for customers located in Singapore.

2.2

We reserve the right to decline orders where delivery or fulfilment is outside the areas serviced by us.

2.3

Availability of a Product on the Website does not necessarily mean that the Product is physically held in our own inventory.

Certain Products may be sourced from distributors, manufacturers, suppliers or other third parties after an Order is received.

3. CUSTOMER ELIGIBILITY

3.1

By placing an Order, you represent that:

(a) you are legally capable of entering into a binding contract;

(b) the information provided by you is accurate and complete;

(c) you are authorised to use the payment method selected;

(d) where you place an Order on behalf of a company or other organisation, you have authority to bind that organisation; and

(e) you will comply with these Terms.

4. PRODUCT INFORMATION

4.1

We make reasonable efforts to ensure that Product descriptions, specifications, images, compatibility information, pricing and other information displayed on the Website are accurate.

However, errors or omissions may occasionally occur.

4.2

Product photographs and images are generally provided for illustrative purposes. Actual Products, packaging, colours, accessories or appearance may differ from images displayed on the Website.

4.3

Manufacturers may change Product specifications, packaging, components, revisions, firmware or other characteristics without prior notice.

Where such changes do not materially alter the basic functionality of the Product, the Product supplied may differ from information or images previously displayed.

4.4

Customers are responsible for checking that a Product is suitable for their intended purpose, existing hardware, software, operating system, network environment or other equipment before purchasing, except where they have expressly relied upon written advice provided by us for that particular purpose.

4.5

If you require a particular Product revision, model, specification, feature, connector, chipset, firmware version or other characteristic, you should confirm this with us before placing your Order.

5. PLACING AN ORDER

5.1

When you place an Order through the Website, your Order constitutes an offer by you to purchase the Products specified in the Order.

5.2

Submitting an Order does not mean that we have accepted it.

5.3

After an Order is submitted, you may receive an automatically generated email, SMS, WhatsApp message, payment confirmation, Order number or other acknowledgement.

Such communication confirms only that we have received your Order and does not constitute acceptance of your Order unless we expressly state otherwise.

5.4

The receipt, authorisation or processing of payment does not by itself constitute acceptance of an Order.

5.5

All Orders are subject to our verification and acceptance, including verification of:

(a) Product availability;

(b) supplier or distributor availability;

(c) Product pricing;

(d) promotional pricing or discounts;

(e) Product specifications;

(f) delivery availability;

(g) payment;

(h) suspected fraud or unauthorised transactions; and

(i) any other information reasonably required to process the Order.

6. ACCEPTANCE OF ORDERS AND FORMATION OF CONTRACT

6.1

A binding contract for the sale of a Product ("Contract") will arise only when we expressly accept the Order or dispatch, deliver or make the Product available for collection, whichever occurs first.

6.2

An automated Order acknowledgement, payment confirmation or communication acknowledging receipt of an Order does not constitute acceptance.

6.3

Until an Order has been accepted by us, we reserve the right to decline or cancel the Order for a legitimate reason, including:

(a) the Product being unavailable;

(b) insufficient stock;

(c) supplier or distributor inability to supply;

(d) Product discontinuation;

(e) allocation or supply restrictions;

(f) an incorrect price;

(g) an incorrect Product description or specification;

(h) a Website, database, software or system error;

(i) an incorrect promotion or discount;

(j) inability to verify payment;

(k) suspected fraud or unauthorised payment;

(l) restrictions imposed by a manufacturer, distributor or supplier; or

(m) circumstances beyond our reasonable control.

6.4

If we decline or cancel an Order before acceptance and payment has already been collected, we will refund the amount paid for the affected Product or Order in accordance with Clause 16.

7. STOCK AVAILABILITY AND SUPPLIER-SOURCED PRODUCTS

7.1

Product availability shown on the Website is provided for general information and may not always reflect real-time physical inventory.

7.2

Stock information may be affected by:

(a) simultaneous online or retail-store transactions;

(b) inventory synchronisation delays;

(c) supplier or distributor stock changes;

(d) stock allocation;

(e) incorrect inventory records;

(f) damaged or missing stock;

(g) discontinued Products; or

(h) other circumstances outside our reasonable control.

7.3

Accordingly, displaying a Product as "In Stock", "Available", "Ready Stock", "Available to Order" or similar wording does not constitute an unconditional guarantee of availability unless we expressly confirm otherwise.

7.4

Certain Products are supplied on a back-to-back, special procurement or supplier-order basis.

This means that we may not physically hold the Product when you place your Order and may purchase or reserve the Product from a distributor, manufacturer or supplier only after receiving your Order.

7.5

Such Orders remain subject to supplier availability, supplier confirmation and our acceptance of the Order.

7.6

If a supplier is unable to supply a Product, discontinues it, restricts allocation, changes availability or otherwise prevents us from fulfilling an Order before our acceptance, we may:

(a) offer you a suitable alternative;

(b) inform you of a revised expected delivery time;

(c) ask whether you wish to proceed where circumstances have materially changed; or

(d) decline or cancel the affected Order and provide a refund of any amount already paid for it.

7.7

We will not substitute a materially different Product without your agreement.

8. PRICES

8.1

Prices displayed on the Website are the prices applicable at the time they are displayed, subject to these Terms.

8.2

Prices may change from time to time without prior notice.

A price change will not ordinarily affect an Order already accepted by us, except where permitted by applicable law or agreed with you.

8.3

Despite our reasonable efforts, pricing errors may occur.

Examples include:

(a) typographical errors;

(b) data-entry errors;

(c) database errors;

(d) Website or software errors;

(e) system integration errors;

(f) supplier data-feed errors;

(g) incorrect discounts;

(h) incorrect promotional pricing;

(i) incorrect GST calculations;

(j) incorrect currency conversion;

(k) incorrect shipping charges; or

(l) an obviously incorrect price.

8.4

Where we discover a pricing error before accepting an Order, we are not obliged to accept the Order at the incorrect price.

8.5

Where the correct price is higher than the displayed price, we may, before accepting the Order:

(a) honour the displayed price at our discretion;

(b) contact you and offer the Product at the correct price; or

(c) decline or cancel the Order.

8.6

If we contact you with a corrected price, you are not obliged to proceed with the purchase at that corrected price.

8.7

If you do not agree to the corrected price, the affected Order will be cancelled and any payment already collected for it will be refunded.

8.8

The mere fact that payment has been successfully processed does not require us to accept an Order containing a genuine pricing error where the Order has not otherwise been accepted.

9. SUPPLIER PRICE CHANGES

9.1

Certain Products may be sourced specifically for an Order from third-party suppliers or distributors.

9.2

Supplier prices, rebates, promotions, currency-related costs and availability may change between the time information is displayed on our Website and the time we obtain final supplier confirmation.

9.3

If a supplier price changes before we have accepted your Order and we are consequently unable to supply the Product at the displayed price, we may:

(a) absorb the difference and proceed with the Order;

(b) offer the Product to you at a revised price; or

(c) decline or cancel the Order.

9.4

If we offer a revised price, you may choose whether to proceed.

We will not charge the higher price without your agreement.

9.5

If you do not wish to proceed, or if we cancel the Order, any payment already collected for the affected Product will be refunded.

10. GST, FEES AND PAYMENT

10.1

Prices will be stated as inclusive or exclusive of GST as indicated on the Website and as required by applicable Singapore law.

10.2

Delivery charges, installation charges, payment charges or other applicable fees will be displayed where applicable before completion of checkout.

10.3

You must pay the amount due using one of the payment methods accepted by us.

10.4

We may perform reasonable verification and security checks before accepting an Order.

10.5

We reserve the right to decline a transaction where we reasonably suspect fraud, misuse, unauthorised payment or other unlawful activity.

10.6

You must not initiate an unjustified payment reversal or chargeback after receiving the Product. This does not affect any legitimate rights you may have to dispute an unauthorised or genuinely disputed transaction.

11. PROMOTIONS, DISCOUNTS AND VOUCHERS

11.1

Promotions, promotional prices, vouchers, discount codes and free gifts may be subject to separate terms.

11.2

Unless otherwise stated:

(a) promotions cannot be combined;

(b) promotional benefits have no cash value;

(c) discounts apply only during the stated promotional period;

(d) promotions are subject to availability; and

(e) we may correct genuine promotional or system errors before accepting an Order.

11.3

We may cancel or refuse a voucher, promotion or discount that has been obtained or used fraudulently or contrary to its stated conditions.

12. CUSTOM-BUILT PCs AND CONFIGURED PRODUCTS

12.1

For custom-built PCs, workstations, servers or other configured Products, you are responsible for reviewing the selected configuration before confirming your Order.

12.2

We may contact you if we identify an apparent compatibility issue.

However, unless we have expressly agreed in writing to design or specify the complete system for a particular purpose, the ultimate responsibility for selecting Products suitable for your intended use remains with you.

12.3

Where a component becomes unavailable before the Order is accepted or during an agreed custom-build process, we may propose an equivalent or better alternative.

Any material substitution affecting price or material specifications will be subject to your agreement.

12.4

Custom-built, customised, configured, specially ordered or personalised Products may not be eligible for change-of-mind cancellation or return once procurement, configuration, assembly or customisation has commenced, except where required by applicable law or expressly agreed by us.

13. PRE-ORDERS AND SPECIAL ORDERS

13.1

Products marked "Pre-Order", "Special Order", "Back Order", "Indent Order", "On Request", "Made to Order" or similar are subject to supplier or manufacturer availability.

13.2

Any estimated arrival or delivery date is an estimate unless expressly guaranteed by us in writing.

13.3

Delays caused by manufacturers, distributors, suppliers, shipping providers, customs, transport disruptions or other circumstances outside our reasonable control may affect estimated delivery dates.

13.4

Where a special-order Product has been specifically procured for you and procurement has commenced following acceptance of your Order, cancellation may be restricted to the extent permitted by applicable law.

14. DELIVERY AND COLLECTION

14.1

Delivery dates and times stated on the Website or communicated to you are estimates unless expressly stated to be guaranteed.

14.2

We will make reasonable efforts to deliver Products within the estimated timeframe.

14.3

Delivery may be delayed by circumstances including stock availability, supplier delays, courier delays, traffic, weather, public holidays, customs procedures, technical issues or events outside our reasonable control.

14.4

You are responsible for providing complete and accurate delivery information.

14.5

Additional delivery charges reasonably incurred because of an incorrect address, failed delivery attempt, refusal to accept delivery or inability to contact the recipient may be charged to you where appropriate.

14.6

For self-collection Orders, Products must be collected from the designated location within the period communicated to you.

14.7

We may require identification, Order confirmation or other reasonable evidence before releasing a Product for collection.

15. INSPECTION UPON DELIVERY

15.1

You should inspect the external condition of the package and Product as soon as reasonably practicable after receiving it.

15.2

Any missing Product, incorrect Product or visible delivery damage should be reported to us promptly, preferably within two (2) days after delivery, together with the Order number and supporting photographs where appropriate.

15.3

A failure to notify us within that period does not exclude any statutory right or remedy that cannot lawfully be excluded.

16. ORDER CANCELLATION BY US AND REFUNDS

16.1

Where we legitimately decline or cancel an Order before acceptance under these Terms and have already collected payment, we will refund the amount collected for the cancelled Product or Order.

16.2

Unless otherwise required by law, refunds will ordinarily be made to the original payment method.

16.3

After we initiate a refund, the time required for the amount to appear in your account depends upon your bank, card issuer, payment provider or payment method and is outside our direct control.

16.4

We are not responsible for processing time imposed by a bank, card issuer or payment provider after we have properly submitted the refund.

16.5

Where an entire Order is cancelled by us before fulfilment because we cannot supply it, we will refund amounts collected for the cancelled Order, including applicable delivery charges paid for that Order.

17. CUSTOMER CANCELLATION AND CHANGE OF MIND

17.1

Unless otherwise stated in our Returns and Refunds Policy, we do not provide an unconditional change-of-mind return or refund merely because a customer:

(a) no longer wants the Product;

(b) purchased the wrong Product;

(c) ordered an incompatible Product;

(d) prefers another Product;

(e) found a lower price elsewhere; or

(f) otherwise changes their mind.

17.2

Where we voluntarily agree to a change-of-mind return, it may be subject to conditions stated in our Returns and Refunds Policy, including that the Product is unopened, unused, undamaged and in its complete original packaging.

17.3

Software, licence keys, activated Products, downloadable Products, hygiene-sensitive Products, customised Products, custom-built systems, specially procured Products and Products that cannot reasonably be resold as new may be excluded from voluntary change-of-mind returns.

17.4

Nothing in this Clause limits rights that you may have under applicable Singapore law in relation to defective or non-conforming Products.

18. DEFECTIVE OR NON-CONFORMING PRODUCTS

18.1

If a Product is defective or does not conform to the Contract, please contact us with your Order or invoice details and a description of the problem.

18.2

We may reasonably inspect or test the Product, or arrange for inspection by the manufacturer, distributor or authorised service centre, to identify the fault.

18.3

Depending upon the circumstances and your rights under applicable law, an appropriate remedy may include repair, replacement, price reduction, refund or another remedy.

18.4

Nothing in these Terms excludes or restricts any remedy available to a consumer under applicable Singapore consumer protection legislation where such remedy cannot lawfully be excluded or restricted.

19. WARRANTY

19.1

Products may carry warranties provided by their respective manufacturers, distributors or brand owners.

19.2

The applicable warranty period and procedure may differ depending upon the Product and manufacturer.

19.3

Certain manufacturers require warranty claims to be made directly through their authorised service centres.

Where applicable, we may provide reasonable information to assist you in identifying the appropriate warranty provider or service centre.

19.4

Manufacturer warranties may exclude matters such as:

(a) accidental or physical damage;

(b) liquid damage;

(c) misuse or abuse;

(d) unauthorised modification or repair;

(e) damage caused by incompatible equipment;

(f) software-related problems;

(g) normal wear and tear; or

(h) damage caused by failure to follow manufacturer instructions.

The applicable manufacturer's warranty terms will govern manufacturer warranty coverage.

19.5

Manufacturer warranty terms are separate from any statutory rights that you may have against us and do not remove rights that cannot lawfully be excluded.

19.6 Invader PC Desktop Systems

Unless otherwise stated at the time of purchase, Invader PC desktop systems come with a three-year limited hardware warranty for eligible hardware faults:

(a) First year: Pickup and delivery within Singapore can be arranged for eligible warranty claims, subject to scheduling.

(b) Second and third years: Warranty service is provided on a carry-in basis. Customers are responsible for bringing their systems to and collecting them from our designated RMA centre.

These service arrangements do not limit any statutory obligation we may have to bear the necessary costs of providing a remedy.

19.7 Warranty Assessment

Please contact us before submitting a Product for warranty service and provide proof of purchase and a description of the reported fault.

Products may require inspection and testing by us, the manufacturer, distributor or an authorised service centre to determine the fault and applicable warranty coverage. Submission for assessment does not automatically establish eligibility for repair, replacement or refund.

19.8 Repair and Replacement Timeframes

Some manufacturer or distributor RMA cases may take approximately four to eight weeks. This is an estimate and may vary depending on the Product, fault assessment, spare-part availability and the relevant service provider.

This estimate does not restrict any right you may have to a remedy within a reasonable time under applicable law.

19.9 Damage and Exclusions

Subject to applicable law, the limited hardware warranty does not cover faults or damage caused by accidents, misuse, physical force, liquid exposure, fire, unsuitable environmental conditions, incompatible equipment, or unauthorised repairs or modifications.

An exclusion applies where the relevant event or action caused the fault or damage. Any proposed chargeable work will be explained and submitted for your approval before proceeding.

19.10 Display Panels and Pixel Defects

Manufacturer warranty coverage for bright pixels, dark pixels, subpixel defects and other display-panel characteristics depends on the applicable policy for the specific brand and model.

There is no single pixel-defect threshold stated by us for all displays. Any manufacturer policy applies separately from statutory rights that cannot lawfully be excluded.

19.11 Warranty Period Following Repair or Replacement

Unless otherwise required by law or expressly confirmed in writing, a repair or replacement provided under the limited warranty does not restart or extend the original warranty period.

Any additional warranty expressly provided for a repaired or replacement Product will apply according to its terms.

20. SOFTWARE, DATA AND COMPATIBILITY

20.1

Unless expressly confirmed by us before purchase or stated in the Product description, we do not guarantee compatibility with every third-party hardware device, software application, operating system, network or peripheral.

Customers should provide details of any specific compatibility requirements before purchasing. This clause does not exclude responsibility for compatibility, features or suitability that we have expressly represented or agreed to provide.

20.2

Customers should back up important data before submitting any computer, storage device or other Product containing data for diagnosis, repair, upgrade or warranty service.

20.3

To the extent permitted by law, we are not responsible for data loss resulting from ordinary diagnostic, repair, replacement or warranty procedures where reasonable care has been taken.

Nothing in this Clause excludes liability that cannot lawfully be excluded.

20.4

The limited hardware warranty does not cover software installation, configuration, licensing, malware removal or troubleshooting of third-party software, unless expressly included in the purchased service or warranty.

A software-related issue does not, by itself, establish that the hardware is defective. However, this does not exclude remedies where supplied software, hardware or an agreed system configuration fails to conform to the sales contract.

Separately supplied software is subject to the applicable licence terms and any expressly stated warranty. Change-of-mind returns are not accepted for software that has been opened, activated, downloaded or supplied as a licence key, except where expressly agreed or required by law.

21. TITLE AND RISK

21.1

Risk of loss or damage to Products will pass in accordance with applicable law and the agreed method of delivery or collection.

21.2

Where permitted by law, ownership of Products remains with us until we have received full cleared payment for them.

22. WEBSITE AVAILABILITY

22.1

We aim to keep the Website available and accurate but do not guarantee uninterrupted or error-free operation.

22.2

The Website may occasionally be unavailable because of maintenance, technical problems, cyber incidents, telecommunications failures or other circumstances.

22.3

We may modify, suspend or discontinue Website functions where reasonably necessary.

23. CUSTOMER ACCOUNTS AND SECURITY

23.1

Where the Website permits customer accounts, you are responsible for keeping your account credentials confidential.

23.2

You must provide accurate account and contact information.

23.3

Please notify us promptly if you reasonably believe your account has been accessed without authorisation.

23.4

We may suspend or terminate accounts reasonably suspected of fraud, misuse or unlawful activity.

24. ACCEPTABLE USE OF WEBSITE

24.1

You must not:

(a) misuse the Website;

(b) attempt unauthorised access to our systems;

(c) introduce malicious software;

(d) interfere with Website operation;

(e) scrape or extract Website information through automated means in a manner that materially interferes with the Website;

(f) impersonate another person;

(g) submit fraudulent Orders; or

(h) use the Website for unlawful purposes.

25. INTELLECTUAL PROPERTY

25.1

Unless otherwise stated, the content of the Website, including text, graphics, logos, layout, software and original materials created by us, is owned by or licensed to us.

25.2

Third-party trademarks, Product names and logos remain the property of their respective owners.

25.3

Website content may not be reproduced or commercially exploited without appropriate permission except as permitted by law.

26. PRIVACY AND PERSONAL DATA

26.1

We collect, use and disclose personal data in accordance with our Privacy Policy and applicable Singapore personal data protection laws.

26.2

By using the Website or placing an Order, you acknowledge that personal data necessary for processing the Order may be provided to relevant third parties such as payment processors, delivery providers, manufacturers, distributors or service providers where reasonably necessary for fulfilment, support or warranty purposes, subject to applicable law.

26.3

Please refer to our separate Privacy Policy for further information.

27. OUR LIABILITY

27.1

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

27.2

Subject to Clause 27.1 and to the maximum extent permitted by applicable law, we will not be liable for indirect, incidental or consequential losses that were not reasonably foreseeable when the Contract was entered into.

27.3

For customers purchasing Products primarily for business purposes, and subject to liability that cannot lawfully be excluded, our aggregate liability arising from a particular Product or Order will not exceed the amount paid to us for the Product or Order giving rise to the claim.

27.4

The limitation in Clause 27.3 does not apply to the extent that such limitation is prohibited by applicable law.

28. BUSINESS CUSTOMERS

28.1

Where Products are purchased wholly or mainly for business purposes rather than personal, domestic or household use, consumer-specific statutory protections may not apply to the same extent.

28.2

Business customers are responsible for ensuring that Products purchased meet their commercial, technical and operational requirements unless we have expressly agreed otherwise in writing.

29. EVENTS OUTSIDE OUR REASONABLE CONTROL

29.1

We will not be responsible for delay or failure to perform an obligation where the delay or failure results from circumstances outside our reasonable control.

29.2

Such circumstances may include:

(a) natural disasters;

(b) fire or flood;

(c) epidemic or pandemic;

(d) war, terrorism or civil disturbance;

(e) government restrictions;

(f) strikes or industrial disputes;

(g) interruption of transport;

(h) port or shipping disruption;

(i) supplier or manufacturer disruption;

(j) telecommunications or internet failures;

(k) power failure;

(l) cyber incidents outside our reasonable control;

(m) import/export restrictions; or

(n) other events that we could not reasonably prevent.

29.3

Where such an event materially prevents fulfilment of an accepted Order, we will take reasonable steps to communicate with you and determine an appropriate course of action.

30. THIRD-PARTY LINKS

30.1

The Website may contain links to third-party websites.

30.2

Such links are provided for convenience and do not mean that we control or endorse all content, products or services available from those third parties.

30.3

Transactions entered into directly with third parties are subject to the third party's own terms.

31. NOTICES AND COMMUNICATIONS

31.1

We may communicate with you using the contact information provided with your Order or customer account, including email, telephone, SMS or WhatsApp where appropriate.

31.2

You are responsible for ensuring that your contact information is accurate.

31.3

Formal communications to us may be sent to:

32. WAIVER

32.1

If we do not immediately enforce a provision of these Terms, this does not mean that we waive our right to enforce that provision later.

32.2

A waiver relating to one matter does not constitute a waiver relating to another matter.

33. SEVERABILITY

33.1

If any provision of these Terms is determined by a court or competent authority to be invalid, unlawful or unenforceable, that provision will be severed or modified to the minimum extent necessary.

33.2

The remaining provisions will continue in effect.

34. ENTIRE AGREEMENT

34.1

These Terms, together with the Order details and any policies expressly incorporated into them, constitute the agreement between you and us concerning the purchase of Products through the Website.

34.2

Nothing in this Clause excludes liability for fraud or fraudulent misrepresentation or any liability that cannot lawfully be excluded.

35. CHANGES TO THESE TERMS

35.1

We may revise these Terms from time to time to reflect changes to our business, Website, Products, policies or applicable law.

35.2

Unless applicable law requires otherwise, the Terms applicable to an Order will ordinarily be those published on the Website when the Order is placed.

35.3

Changes to these Terms will not retrospectively remove contractual or statutory rights already accrued in relation to an existing Contract.

36. PRIORITY OF TERMS

36.1

If a specific written quotation, Product listing, promotion or special-order agreement contains terms expressly stated to override part of these Terms, those specific terms will apply to the extent of the inconsistency.

36.2

Manufacturer warranty conditions apply to manufacturer warranty claims but do not exclude statutory rights that cannot lawfully be excluded.

37. GOVERNING LAW AND JURISDICTION

37.1

These Terms and Contracts for Products purchased through the Website are governed by the laws of the Republic of Singapore.

37.2

The courts of Singapore will have jurisdiction over disputes arising from or relating to these Terms or a Contract, subject to any rights or dispute-resolution mechanisms available under applicable Singapore law.

IMPORTANT NOTICE REGARDING ORDERS, PRICING AND AVAILABILITY

For clarity:

Placing an Order does not automatically mean that the Order has been accepted.

Products displayed on our website may be supplied from our own inventory or procured from third-party suppliers and distributors after an Order is received.

All Orders are therefore subject to verification of stock availability, supplier availability, pricing, Product information and payment before acceptance.

An automated Order acknowledgement or successful payment does not by itself constitute acceptance of the Order.

If, before acceptance, a Product is unavailable, has been discontinued, cannot be obtained from our supplier, is affected by a genuine pricing or Website error, or cannot otherwise reasonably be supplied, we may decline or cancel the Order.

Where payment has already been collected for an Order that we decline or cancel before acceptance, we will refund the amount paid for the affected Product or Order.

Nothing in this notice or these Terms excludes or restricts rights that cannot lawfully be excluded or restricted under applicable Singapore law.
